Legal Stuff: Standard Terms and Conditions

1. These Standard Terms and Conditions of Sale apply to any supply of products or services by Orgalight to Customer. They apply to the exclusion of any terms and conditions on a purchase order or other document issued by Customer.

2. Products are for laboratory, research, and experimental use by expert, professional users. Customer represents that he has the requisite expertise and facilities and equipment to properly test, use and dispose of the Products in compliance with applicable law. Orgalight makes no representations or warranties with respect to their suitability for any use for which Customer may intend them.

3. Unless quoted otherwise, our prices are in Euro and are expressed without VAT and based on the current rate at the order date.

4. Upon delivery, Customer assumes all risks related to the Products. Customer will have to pay the product price if the goods are lost and this, in any case, accidental or not

5. Quoted delivery dates are approximate and may, if affected by a cause beyond Orgalight’s reasonable control, be extended. Furthermore, Orgalight reserves the right to allocate its production among customers as it reasonably fits in case of shortage of materials, unusual demand or other causes.

6. Unless quoted otherwise, payment will be due 30 days from invoice date. Orgalight reserves the right to ask warranty of payment like a deposit before shipment and if warranties are not enough, Orgalight can withhold shipments or cancel orders if it determines that timely payment is at risk. Payment of all partial delivery is due to the date mentioned on the corresponding invoice and not at the date of delivery of the balance. Any amounts past due over thirty days will accrue interest from their due date at the higher of the BCE +10 points, under applicable law.

7. Unless quoted otherwise, taxes (other than taxes on the net income of Orgalight), duties, transportation and all similar expenses will be to Customer’s account and, if they must be paid by Orgalight, added to the quoted price.

8. Unless agreed otherwise by an executive officer of Orgalight, Orgalight will own all intellectual property rights in the Products. Orgalight grants to Customer a non-exclusive and non-transferable licence for laboratory, research and experimental use of the Products only. All products delivered to customer remain full ownership of Orgalight until complete settlement of the invoice.

9. If any Product is not in compliance with its description in Orgalight’s catalogue or certificate of analysis or other specification accepted by an executive officer of Orgalight, Orgalight will, at its option, deliver replacement Product or refund the applicable price. In case of non-conforming or defective Products, customer will notify Orgalight of the non-compliance no later than one month after delivery.

10. The total liability of Orgalight, including its subcontractors and suppliers, for claims for any loss or damage will not exceed the amount paid by Customer for the Product that gives rise to the claim.

11. Exportation of all Orgalight's products is gouverned by French and European law and also by the law of the recipient country. For these reasons, Orgalight reserves the right to decline any order if the recipient country seems to be at risk or if shipment cost becomes prohibitive . Also, for all recipient countries outside Europe, Orgalight reserves the right to claim payment before delivery.
